By accessing or using ScribeMatrix (the “Platform”), you confirm that you are at least 13 years of age and agree to be legally bound by these Terms and Conditions (“Terms”). If you do not agree to any part of these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you (“User”) and ScribeMatrix (“Company,” “we,” “us,” or “our”). Your continued use of the Platform following any modification to these Terms constitutes your acceptance of such modification.

To access certain features of the Platform you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

• You are solely responsible for safeguarding your password and all activity that occurs under your account.
• You must notify us immediately at help@scribematrix.com of any unauthorised use of your account.
• We reserve the right to terminate accounts that violate these Terms or remain inactive for an extended period.
• You may not transfer your account to any other person or entity without our prior written consent.

All content on the Platform — including text, graphics, logos, icons, images, audio clips, and software — is the property of ScribeMatrix or its content suppliers and is protected by applicable intellectual property laws.

Authors who publish works through ScribeMatrix retain full copyright ownership of their original content. By uploading content you grant ScribeMatrix a non-exclusive, worldwide, royalty-free licence to display, distribute, and promote your work solely within the Platform.

• You may not reproduce, duplicate, copy, sell, or exploit any portion of the Platform without our express written permission.
• ScribeMatrix’s trademarks and trade dress may not be used in connection with any product or service without prior written consent.

You agree not to use the Platform to:

• Violate any applicable local, national, or international law or regulation.
• Transmit unsolicited or unauthorised advertising or promotional material.
• Upload or transmit viruses or any other malicious code that may affect the operation of the Platform.
• Attempt to gain unauthorised access to any part of the Platform or its related systems.
• Engage in data mining, scraping, or similar data-gathering activities without written permission.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
• Upload content that is defamatory, obscene, offensive, or infringes the rights of any third party.

ScribeMatrix offers both free and paid subscription tiers. By subscribing to a paid plan you authorise us to charge the applicable fees to your designated payment method on the billing cycle you select.

• Billing. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law.
• Price changes. We reserve the right to modify subscription pricing with at least 30 days’ notice. Continued use after a price change constitutes acceptance of the new price.
• Cancellation. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.
• Free trials. Unused portions of a free trial are forfeited upon purchase of a paid subscription.

The Platform may allow you to post, upload, or submit content (“User Content”). You are solely responsible for all User Content you provide and represent that you own or have the necessary rights to such content.

We do not endorse any User Content and expressly disclaim all liability in connection with it. We reserve the right — but not the obligation — to monitor, edit, or remove any User Content at our sole discretion.

Your privacy matters to us. Our Privacy Policy, incorporated by reference into these Terms, explains how we collect, use, and protect your personal information when you use the Platform. By using ScribeMatrix you consent to the data practices described in that policy.

We use industry-standard security measures to protect your data; however, no method of transmission over the internet is 100% secure and we cannot guarantee absolute security.

The Platform and all content, services, and features are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

ScribeMatrix does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We make no representations about the accuracy, reliability, or completeness of any content available on or through the Platform.

To the fullest extent permitted by applicable law, ScribeMatrix and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill — arising out of or in connection with your use of or inability to use the Platform.

In no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or the Platform exceed the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) one hundred US dollars (USD $100).

We may suspend or terminate your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination all provisions of these Terms which by their nature should survive — including ownership provisions, warranty disclaimers, and limitations of liability — shall survive.

You may close your account at any time by contacting us or using the account-deletion option in your settings. Deletion requests are processed within 30 days.

We reserve the right to amend these Terms at any time. When we do, we will revise the effective date at the top of this page and, for material changes, notify you by email or a prominent notice on the Platform.

It is your responsibility to review these Terms periodically. Your continued use of the Platform following the posting of any changes constitutes your acceptance of the revised Terms.
